These Terms of Service ("Terms") govern your access to and use of the FrontDeskOS platform, website, and services (collectively, the "Services") provided by FrontDeskOS, Inc. ("FrontDeskOS," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
FrontDeskOS provides an automated front desk platform that includes:
- 24/7 Call Answering: Automated phone answering with intelligent routing and message taking.
- Appointment Scheduling: Automated booking, rescheduling, cancellation, and reminder services.
- Lead Capture: Automatic lead qualification, scoring, and pipeline management.
- Analytics: Real-time dashboards, reporting, and insights on call and appointment data.
- Integrations: Connections to third-party CRM, calendar, and business applications.
3. Account Registration
To use certain features of the Services, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access or security breach
We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.
4. Subscription and Payment
4.1 Subscription Plans
Access to the Services requires a paid subscription. Current pricing and plan details are available on our Pricing page. We may modify pricing with 30 days' notice before your next billing cycle.
4.2 Free Trial
We offer a 14-day free trial with full access to all features. No credit card is required during the trial period. At the end of the trial, you must subscribe to continue using the Services.
4.3 Billing
Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your designated payment method for all applicable fees. Failed payments may result in suspension of Services.
4.4 Refunds
Monthly subscriptions are non-refundable. Annual subscriptions may be refunded on a prorated basis if you cancel within the first 30 days or if we terminate your account without cause.
5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:
- Use the Services for any illegal or unauthorized purpose
- Violate any applicable laws, regulations, or third-party rights
- Transmit spam, unsolicited communications, or malicious content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Use the Services to make fraudulent, harassing, or abusive calls
- Resell, sublicense, or redistribute the Services without authorization
- Use automated means to access the Services except through our approved APIs
6. Your Content and Data
6.1 Ownership
You retain ownership of all data, content, and materials you upload, submit, or transmit through the Services ("Your Content"). FrontDeskOS does not claim ownership of Your Content.
6.2 License Grant
By using the Services, you grant FrontDeskOS a limited, non-exclusive, royalty-free license to use, process, store, and display Your Content solely for the purpose of providing and improving the Services.
6.3 Responsibility
You are solely responsible for Your Content and ensuring it does not violate any laws or third-party rights. You represent that you have all necessary rights and permissions to use and share Your Content through the Services.
7. Intellectual Property
The Services, including all software, features, designs, text, graphics, and other materials, are owned by FrontDeskOS and protected by intellectual property laws. Except for the limited rights granted in these Terms, FrontDeskOS reserves all rights in the Services.
"FrontDeskOS" and our logo are trademarks of FrontDeskOS, Inc. You may not use our trademarks without prior written consent.
8. Third-Party Integrations
The Services may integrate with third-party applications, platforms, and services. Your use of third-party integrations is subject to those third parties' terms and privacy policies. FrontDeskOS is not responsible for third-party services and does not warrant their availability, accuracy, or reliability.
9. Confidentiality
Both parties agree to maintain the confidentiality of any non-public information disclosed during the use of the Services. This includes business data, technical information, and any information marked as confidential. This obligation survives termination of these Terms.
10. Service Level Agreement
FrontDeskOS commits to a 99.99% uptime SLA for the Services. In the event of downtime exceeding this threshold, affected customers may be eligible for service credits as outlined in our SLA documentation. Scheduled maintenance windows are excluded from uptime calculations and will be communicated in advance.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. FRONTDESKOS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the Services is at your sole risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRONTDESKOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
IN NO EVENT SHALL FRONTDESKOS'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless FrontDeskOS and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) Your Content.
14. Termination
14.1 By You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
14.2 By FrontDeskOS
We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay fees when due, or engage in conduct that we determine is harmful to other users or our business.
14.3 Effect of Termination
Upon termination, your right to use the Services ceases immediately. Your data will be available for export for 30 days after termination, after which it may be deleted. Sections that by their nature should survive termination will survive, including intellectual property, disclaimer of warranties, limitation of liability, and indemnification.
15. Modifications to Terms
We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be communicated via email or through the Services at least 30 days before they take effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.
17. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable BAA, constitute the entire agreement between you and FrontDeskOS.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
- Waiver: Failure to enforce any right or provision shall not constitute a waiver of such right or provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control.
